Practical Policy, LLC (“we,” “us,” “our,” or “Practical Policy”) offers attorney-drafted governance policy templates and related materials for nonprofit organizations through this Site. We are not a law firm. We do not provide legal advice, and no attorney-client relationship is created by your use of this Site or your purchase of any product.

2.1 Legal Information Only. All content on this Site — including all templates, guidance notes, blog posts, FAQs, and other materials — constitutes legal information only. It is not legal advice. There is a meaningful difference between legal information and legal advice. Legal information describes the law generally; legal advice applies the law to your specific facts and circumstances. Practical Policy provides the former, not the latter.
2. Not Legal Advice
2.2 No Attorney-Client Relationship. Your use of this Site and your purchase of any product do not create an attorney-client relationship between you and Practical Policy or any individual associated with Practical Policy. Do not send us confidential information or rely on any communication from us as legal advice.
2.3 Consult an Attorney. If you have any questions about the documents, the laws of your state, or how a policy applies to your specific organization or situation, you should consult a licensed attorney in your jurisdiction. Nothing on this Site or in any product is a substitute for individualized legal counsel.
3. Accuracy, Currency, and Jurisdiction
3.1 Laws Change. The law applicable to nonprofit governance, tax-exempt organizations, employment, and records management changes frequently. Although we make reasonable efforts to ensure our templates reflect current legal standards at the time of drafting, we make no representation or warranty that any template or other content is accurate, complete, or current as of the date you access or purchase it. Legal requirements that were accurate when a template was drafted may have changed.
3.2 Jurisdiction Varies. The law governing nonprofit organizations, employment practices, and document retention varies significantly from state to state. Our templates are generally drafted to be state-neutral and to reflect federal standards where applicable, but they may not comply with the specific requirements of your state or jurisdiction. It is your responsibility to confirm that any template you purchase complies with the laws of your state before adopting it.
3.3 No Warranty of Compliance. We make no representation or warranty that any template or product purchased through this Site will satisfy the legal requirements of any particular jurisdiction, regulatory body, grant agreement, or funder. Your use of any template is at your own risk.
3.4 Updates. 4.1 Single-Organization License. Each purchase of a digital product grants you a limited, non-exclusive, non-transferable license to use, adapt, and adopt the purchased template for use by a single organization. You may not resell, sublicense, distribute, or share the purchased template with any other person or organization.
4. License and Permitted Use
4.2 Permitted Customization. You may customize the purchased template for your organization’s specific needs. Customization does not create any warranty by Practical Policy regarding the suitability or legal compliance of the customized document.
4.3 Prohibited Uses. You may not:
Resell or redistribute any template or product purchased through this Site;
Use any template or product to provide legal services or legal advice to third parties;
Represent that any template or product was drafted specifically for your organization or constitutes legal advice;
Remove or alter any disclaimer or attribution language contained in any template or product; or
Use any content from this Site in a manner that violates applicable law or these Terms.
5.2 No Refunds. Because our products are digital downloads that are delivered immediately upon purchase, all sales are final. We do not offer refunds after a product has been delivered. If you have questions about whether a product is right for your organization before purchasing, please contact us at contact@practicalpolicy.com before completing your purchase.
5.1 Digital Products. All products sold through this Site are digital downloads. Upon completing your purchase, you will receive access to your purchased product electronically.
5. Purchases and Refunds
5.3 Pricing. We reserve the right to change the prices of any product at any time without notice. Price changes will not affect purchases already completed.
All content on this Site — including all templates, guidance notes, text, graphics, and other materials — is the proprietary property of Practical Policy and is protected by applicable copyright and intellectual property laws. Your purchase of a digital product grants you the limited license described in Section 4 only. All other rights are reserved.
6. Intellectual Property
To the fullest extent permitted by applicable law, this Site and all products are provided “as is” and “as available” without warranty of any kind, express or implied. We expressly disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that this Site will be uninterrupted or error-free, that defects will be corrected, or that this Site or the servers that make it available are free of viruses or other harmful components.
7. Disclaimer of Warranties
To the fullest extent permitted by applicable law, in no event shall Practical Policy, its owners, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of this Site or any product purchased through this Site, including but not limited to damages arising from reliance on any content or template, loss of data, loss of revenue, or regulatory penalties, even if we have been advised of the possibility of such damages.
8. Limitation of Liability
In no event shall our total liability to you for all claims arising out of or related to these Terms or your use of this Site or any product exceed the amount you paid for the product giving rise to the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Practical Policy and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of this Site or any product purchased through this Site; (b) your violation of these Terms; (c) your adoption or use of any template in a manner not consistent with these Terms or the guidance notes included with the product; or (d) any claim by a third party arising from your organization’s adoption or use of any template.
9. Indemnification
10.1 Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to contact us at contact@practicalpolicy.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.
10. Dispute Resolution and Arbitration
10.2 Binding Arbitration. If the dispute is not resolved informally within thirty (30) days, any dispute, claim, or controversy arising out of or relating to these Terms, this Site, or any product purchased through this Site — including any question regarding the existence, validity, or termination of these Terms — shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted by a single arbitrator. The place of arbitration shall be Atlanta, Georgia, or, at your election, by video conference. The language of the arbitration shall be English. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
10.4 Exceptions. Notwithstanding Section 10.2, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration, without waiving the right to arbitration.
10.3 Waiver of Class Action. You agree that any arbitration or other dispute resolution proceeding shall be conducted solely on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms and any dispute arising out of or related to these Terms, this Site, or any product purchased through this Site shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.
11. Governing Law
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated “Last Updated” date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
